Job Description

The National Black Nurses Association (NBNA) has a position for a Legal Counsel available on a contractual basis to ensure compliance to and oversight of the tax exemption status of this non-profit organization. Legal Counsel will also provide assistance on a variety of legal matters including the drafting, review and negotiation of contracts; knowledge of parliamentary procedures and other related civil legal needs.

Responsibilities

  • Monitors the tax exemption status of the NBNA to ensure compliance to the IRS regulations.
  • Reviews and provides legal input on all types of documents, such as NBNA-sponsored agreements, marketing agreements, licensing agreements, real estate/lease agreements and vendor/service agreements.
  • Reports to the President/CEO on all legal matters encounter in the day to day operations.
  • Provides legal counsel and training to the President/CEO, Executive Board, Board of Director, affiliates and management team on a variety of legal issues encountered as deemed necessary.
  • Assists with advising on fundraising activities, including estate administration, gift acceptance issues, trusts and other planned giving vehicles and charitable registration requirements.
  • Develops and reports on all legal and risk management needs of the organization and then creates additional and revised policies and procedures as may be necessary.
  • Utilizes strong interpersonal communication and presentation skills, as well as strong project management abilities to win the trust and respect of the leadership team and membership.

  • Job Requirements

    Law degree from ABA accredited program with 5+ years of experience with a current and valid law license and with the above-referenced experiences. Applicant must have a solid foundation in fundamental legal theories, ability to identify problems and legal issues, strong interpersonal and communication skills with demonstrated ability to interact constructively with a wide range of personality.

NBNA represents over 150,000 African American registered nurses, licensed vocational/practical nurses, nursing students and retired nurses from the USA, Eastern Caribbean and Africa, with 83 chartered chapters, in 34 states.
